Terms and Conditions

The website EUDOXIA is an e-commerce website that is accessible through the internet network at the following address www.eudoxia.com (hereinafter the “Website”). It is accessible to all users of this network (hereafter referred to as “Website Users”). The Website is published by the company EUDOXIA SAS with capital of 57 000 Euros having its registered office at 231 rue Saint-Honoré, 75001 Paris, FRANCE listed in the Paris Trade and Companies Register under number 811 913 508.

Subject

EUDOXIA offers cosmetic products for sale on the Website (hereinafter the “Products”) to website users (hereinafter the “Customers”). For the purpose of this agreement, the Customer and EUDOXIA shall be referred to collectively as the “Parties” and individually as a “Party”.
Customer means a natural person of majority age or at least having the legal capacity to enter into an agreement and who, for non-professional purposes, places an order on the Website.

All orders for a Product available on the Website imply the specific consultation and acceptance of these terms and conditions of sale in force at the time of the formation of the agreement.

These terms and conditions of sale define the rights and obligations of the Parties resulting from the on-line sale of Products proposed on the Website throughout the world, exclusively resulting from relations established through the internet network and only on the Website. These conditions apply to the exclusion of all other documents.
EUDOXIA reserves the right to change these General Terms of Sale without notice and at any time, with any modifications not applying to reservations and orders already accepted and confirmed by the Customer.

Products

The Products offered for sale by EUDOXIA are those displayed on the Website, on the day that the Customer consults the Website within the limit of available stocks and subject to the conditions stated in the preceding Introduction. The photographs that illustrate the Products are non-contractual. EUDOXIA shall not incur any liability should the photographs prove erroneous in nature.
The Customer is, in addition, obliged to consult the descriptive sheet for each Product to learn of its characteristics.

The sales offers on the Website, governed by these terms and conditions of sale, are valid for any Product as long as the latter remains on line.

Prices

The prices of the Products are given in Euro inclusive of all taxes. They include the V.A.T. that is applicable in French territory on the day of the order. The prices indicated do not include packaging and postage which will be charged as an extra and notified to the Customer on confirmation of the order.

EUDOXIA shall not be bound by the display of an erroneous price, obviously too low, irrespective of the reason (computer bug, manual or technical error). In this case, EUDOXIA shall inform the Customer as promptly as possible and the order will be cancelled.

Orders

All orders imply full and unreserved acceptance of these Terms of Sale.

The Customer accepts that EUDOXIA’s order registration systems are proof of the nature of the agreement and its date.

When the order is confirmed by clicking on the “Complete my order” button, the Customer declares that they accept the order, together with these General Terms of Sale. A summary of the order can be printed.

Once the order has been registered, a detailed acknowledgement of the order is sent to the Customer at the e-mail address provided.

This acknowledgement specifies the exact amount invoiced and details of delivery.

This acknowledgement implies acceptance of the order and confirms the transaction, subject to order payment.

In the event of one or more products being unavailable once the order has been placed, the Customer will be notified by e-mail. The amount of the order will be recalculated and the Customer will be debited the new amount, with the price of the unavailable products deducted. If the whole order is unavailable, the Customer will be notified by e-mail and will not be debited.

EUDOXIA does however reserve the right to suspend or cancel any order placed by a Customer with whom a dispute exists regarding the payment of a previous order, or for any other legitimate reason, in particular related to the unusual nature of the order.

Payments

All orders are payable in euros.

To pay for their order, the Customer must use the following method of payment:

  • Bank Card  (Bleue, Visa, Mastercard, American Express card is not accepted)
  • Bancaire Cheque sent to EUDOXIA, 231 rue Saint-Honoré 75001 Paris, FRANCE, with printed order confirmation.
  • PayPal

The Customer guarantees to EUDOXIA that they have been granted any authorizations required to use their chosen method of payment, when registering the purchase order.

In the event of non-payment of any amount owed by the Customer, or of any adverse payment circumstances, EUDOXIA reserves the right to suspend or cancel any order and/or delivery, whatever their nature or state of progress.

Charges on any unpaid amount will be automatically incurred at the legal interest rate plus 5 percent following a period of ten days from the invoice date, or immediately after notification of rejected bank payment for all other means of payment.

As part of the measures taken to prevent fraud over the Internet, information concerning the Customer’s order may be sent to any competent authority for verification.

To ensure secure credit card payment, the Customer must send the card security code of the bank card being used.

Secure payments on the Site are guaranteed by BNP PARIBAS having its registered office at 16, bd des Italiens – 75009 Paris, FRANCE.

Delivery

EUDOXIA endeavor to dispatch orders within 24h to 2 working days of receiving your order.

Orders will be delivered within an average of 2 to 6 days as from the day on which EUDOXIA receives the order and no later than 30 days as from reception of the order, subject to full payment of the price.

Our products are usually delivered by Royal Mail or DPD, at the address indicated by the client upon Command.

If you receive any products which are either damaged or missing or the packaging has been opened, you should register all reservations and complaints with the carrier or refuse the package if it is likely to have been opened or damaged.

Right of Cancellation

Customers may exercise their right of cancellation for a period of fourteen (14) business days if the ordered Product(s) do not give complete satisfaction. This period starts on the date of delivery of the order.

Customers must return Product(s) ordered at their own expense within fourteen (14) business days from exercise of the right of cancellation. The Product(s) must be returned in their original inner and outer packaging with the associated invoice and the cancellation form duly completed to the following address: EUDOXIA, 231 rue Saint-Honoré, 75001 Paris, FRANCE.

If the above-mentioned conditions are complied with, EUDOXIA will reimburse Customers within fourteen (14) days for the total sum corresponding to the Products purchased and the standard shipping and delivery costs.

Guarantees

The Customer shall benefit from the provisions of the legal guarantee regarding product conformity.

In the event of non-conformity of the product, in particular due to an anomaly or an error in the delivered references, the Customer can choose to return the product to the Vendor and be reimbursed.

Return shipping costs will be reimbursed by the Vendor on request by the Customer.

Data Processing and Individual Liberty

The data collected will be processed for the purpose of sending out a newsletter and/or processing the Customer’s order.
The recipients of the data are the Vendor and its service providers.
The Customer has the right to access, change, correct and delete personal information concerning them by contacting EUDOXIA by email: contact@eudoxia.

Force majeure

No Party shall be liable in the event of partial or total non-performance of any obligation under this contract where such non-performance arises due to an event that constitutes a case of force majeure. Cases of force majeure will be defined as those events which fulfil the criteria set by case law.
The Party relying on any event tantamount to force majeure must advise the other Party thereof within five (05) working days of the occurrence, or the threat, of the event.
The Parties hereby agree that they will consult one another within the shortest possible time in order to decide jointly on how to carry out the order during the case of force majeure.

Partial Invalidity

If one or a number of the provisions of these terms and conditions of sale are held to be invalid or declared as such by the application of a law, a regulation or as the result of a final judgement by a competent authority, the other provisions shall, however, remain valid and enforceable.

Completeness of the Agreement

These terms and conditions of sale and the summary of the order as sent to the Customer form a contractual whole and constitute the full and complete contractual relations between the Parties. If there is any discrepancy between the documents, these terms and conditions of sale take precedence.

Intellectual property

In accordance with legislation governing the ownership of literary and artistic rights, or other similar rights, this Site and all the elements, brands, drawings, models, photographs, texts, illustrations, logos, sequences whether animated or not and with or without sound, graphics, etc., to be found in this site, together with their compilation, are the exclusive property of EUDOXIA, as it does not grant any license or any entitlement other than that of consulting the Site. Any use or reproduction, in whole or in part, of these elements is authorized exclusively for information purposes only for personal and private use, with any reproduction and any use of copies made for other purposes being expressly prohibited. Neither the Site (in whole or in part), nor its content or brands may be used, reproduced, duplicated, sold, resold, made accessible, modified or exploited in any other way, in whole or in part, for any purpose whatsoever, without prior, written authorization from EUDOXIA.
Any other use constitutes infringement.

Applicable Law – Jurisdiction Clause

These Standard Terms & Conditions of Business and the contractual relationship between EUDOXIA and the Customer are subject to French law.

In case of litigation relating to the interpretation, execution or rupture of these general terms of sale, and when an amicable solution cannot be reached, competence will be expressly attributed to the jurisdiction of the Tribunal of Paris.
